1. Introduction

Welcome to BabyGoods. These Terms and Conditions ("Terms") govern your access to and use of the BabyGoods website, mobile applications, and services (collectively, the "Platform"). By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.

BabyGoods is a marketplace that connects buyers and sellers of used baby goods. We provide the platform for these connections but are not a party to any transaction between users.

2. Definitions

In these Terms:

• "BabyGoods," "we," "us," and "our" refer to BabyGoods Ltd., a company registered in Kenya.
• "User," "you," and "your" refer to any individual or entity using our Platform.
• "Buyer" refers to a User who browses, makes offers on, or purchases items listed on our Platform.
• "Seller" refers to a User who lists items for sale on our Platform.
• "Content" refers to all text, images, videos, and other materials that appear on our Platform.

3. Account Registration

To use certain features of our Platform, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are at least 18 years old.

4. User Conduct

When using our Platform, you agree not to:

5. Listings and Transactions

BabyGoods is a platform that facilitates connections between buyers and sellers. We do not:

• Take possession of items being sold
• Verify the accuracy of listings
• Guarantee the quality or safety of items
• Process payments between users
• Guarantee that transactions will be completed

Users are solely responsible for:

• The accuracy of their listings and communications
• Ensuring items meet safety standards and legal requirements
• Arranging and completing transactions
• Resolving any disputes that may arise

Sellers must comply with our Seller Terms and Conditions, which include specific requirements for listings and prohibited items.

6. Safety Guidelines

For your safety, we recommend:

• Meeting in public places during daylight hours
• Bringing a friend or family member to meetings when possible
• Inspecting items thoroughly before purchasing
• Using secure payment methods
• Communicating through our Platform until you're comfortable
• Trusting your instincts and avoiding situations that feel unsafe

BabyGoods is not responsible for the safety of users during in-person meetings or transactions.

7. Intellectual Property

The content, features, and functionality of our Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are owned by BabyGoods or our licensors and are protected by Kenyan and international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Platform without our prior written consent. You may not reverse engineer or attempt to extract the source code of our software.

By posting content on our Platform, you grant BabyGoods a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.

8. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our Platform, you consent to the collection and use of your information as described in our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, BabyGoods and its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content
• Transactions between users, including but not limited to disputes, injuries, or legal issues

In no event shall our total liability to you for all claims exceed the amount you have paid to BabyGoods, if any, in the past six months.

10. Indemnification

You agree to indemnify and hold harmless BabyGoods and its directors, employees, partners, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with:

• Your access to or use of the Platform
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right
• Any claim that your content caused damage to a third party

11. Modifications to Terms

BabyGoods reserves the right to modify these Terms at any time. We will provide notice of significant changes through the Platform or via email. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

12. Termination

BabyGoods reserves the right to terminate or suspend your account and access to the Platform at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

13. Governing Law

These Terms are governed by the laws of Kenya. Any disputes arising from these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts of Kenya.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by BabyGoods on the Platform, constitute the entire agreement between you and BabyGoods concerning the Platform.
